HubSTREET Member Agreement

Important - Read Carefully

This member agreement is a contract between you and Strategic Connections LLC, a New York limited liability company (also referred to as "we" or "us").

Purpose of the HubSTREET Network

The HubSTREET network is a subscription-based networking website for professionals. It brings professionals in synergistic fields together in a number of ways, making networking a more efficient and effective process. It provides individualized business matching, networking and educational resources and services to members, and much more.

Creating Your Account

In order to use the HubSTREET network, you must create an account by entering the required information online and specifically agreeing to the terms of this member agreement by clicking "I accept" when asked. You are then bound by the terms of this agreement, as modified by us from time to time. If you do not agree to the terms of this agreement, do not click "I accept" and do not use the services we offer.

HubSTREET membership is open to lawyers, accountants and bankers. If you are a service provider to our members, you may join as an Associate Member for a fee as explained on the website.

License Grant

When you subscribe, we grant to you the non-exclusive right and license to use the HubSTREET network.

User Names and Passwords

You may access the HubSTREET network from any web browser by entering your authorized user name and a confidential password. You understand and agree that your subscription is for your use alone. You agree not to disclose your confidential password to anyone else.

Fees and Payment

There is no fee for membership for lawyers, accountants or bankers. We reserve the right to charge a fee in the future, and we will give you advance notice before we impose a fee.

Associate Members pay the fees indicated on the website. All fees are nonrefundable.

We also offer paid advertising on the website.

We may at any time (a) change the rates charged for access to the HubSTREET network or any other products or services, (b) change the manner in which our fees are assessed, and (c) add new fees or charges. The current rates are posted on the Pricing page of the website.

We require that you pay in U.S. dollars by a credit card accepted by us. We require that you pay in advance or that you authorize us to charge our fees to your credit card on a regular monthly basis in advance at the start of each month and continuing until such time as your account is terminated.

You are Responsible for Your Postings

You are solely responsible for the contents of your postings and communications on the HubSTREET website and through the HubSTREET network. We do not and cannot review all such postings or communications.

For this reason, we require that you make certain representations to us and to other users of this website. We rely on your representations. You alone remain responsible for the consequences of your postings and communications on the HubSTREET website and through the HubSTREET network.

Representations

You represent and warrant to us and to other users that all of the information you have provided to us and to others through the HubSTREET network regarding yourself is correct.

Not Legal Advice

You will not post on the HubSTREET website or use the HubSTREET network to communicate legal advice or to create an attorney-client relationship. Communications through the HubSTREET network are not confidential.

Posting Guidelines

You may not post comments or upload other digital media that contain, display or link to any of the following:

• pornography or sexually explicit content;
• animal abuse, drug abuse, or bomb making;
• graphic or gratuitous violence or humiliation;
• shocking depictions of accidents, dead bodies or the like;
• hate speech (speech that attacks or demeans a group based, for example, on race or ethnic origin, religion, disability, age, sexual orientation or gender);
• threats, harassment, invasion of privacy, or the revealing of anyone's personal information;
• misleading descriptions, tags, titles or thumbnails in order to increase views;
• large amounts of untargeted, unwanted or repetitive content, including comments and private messages; or
• material that could constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law or regulation.

Other Prohibitions

You may not:

• distribute or post spam, chain letters or pyramid schemes;
• copy, reproduce, modify, create derivative works from, distribute or publicly perform or display any content from the HubSTREET website (except your own content or content you purchase);
• harvest or otherwise collect information about users, including email addresses, without their consent;
• distribute in any medium any part of this website (other than digital media you sell or buy) without our prior written authorization;
• alter or modify any part of this website;
• circumvent, disable or otherwise interfere with security-related features of this website or features that prevent or restrict use or copying of any content or access by robots; or
• take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure.

Your License to Us

You grant us a worldwide, non-exclusive, royalty-free right to display your postings on the HubSTREET website and in any media known now or in the future.

You also grant to us the right to post, reproduce, modify, display, make derivative works or otherwise use any of your postings to the HubSTREET website for the promotion of the HubSTREET website and network.

Our rights described above terminate within a commercially reasonable time after you remove or delete your postings from this website. We may retain or delete archived copies of your postings that have been removed or deleted.

Trademarks

We are the sole owner of the HUBSTREET trademark. You may not use the HUBSTREET trademark without our prior written consent, which we may withhold in our discretion.

Copyrights

The HubSTREET website is protected by copyright and other laws. We are the sole owner of all rights in and to the website. You have no rights in the website except as set forth in this agreement.

Compliance

You agree to use the HubSTREET network in compliance with all applicable laws and regulations. We will have no liability to you or anyone receiving email from you for any breach by you of the terms of this agreement or any violation by you of any laws. If you breach this agreement or violate any laws, we will have the right to terminate your subscription without any refund to you of amounts paid.

Copyright Complaints

We have designated an agent with the United States Copyright Office in accordance with the terms of the Digital Millennium Copyright Act ("DCMA"). If you believe that any material on the HubSTREET website infringes your copyrights, you may file a notification of such infringement with our designated agent as described in this section.

Termination

You may terminate this agreement at any time by calling us. There are no refunds for any fees paid. You are responsible for terminating your account and this agreement and we are not responsible for your failure to properly terminate your account. You remain responsible to pay all credit card charges until your account is terminated, even if you are not using the HubSTREET network and you fail to terminate your account.

We may terminate this agreement or your access to the HubSTREET network, disable your account or put your account on inactive status, in each case at any time with or without cause, and with or without notice. We will have no liability to you or any third party because of such termination or action.

Disclaimers

We will not be liable for the consequences of the acts or postings of any user.

You understand that user comments and postings may be inaccurate, offensive, indecent, or objectionable, and you waive any legal or equitable rights or remedies you have or may have against us with respect to such comments and postings.

We do not endorse the website of any third party, even if the HubSTREET website links to such website and promotes the offerings on such website. In no event will we be liable for any act or omission of any third party, including without limitation any financial institution, any payment system, any third party service provider, any provider of telecommunications services, Internet access or computer equipment or software, or any mail or delivery service.

No Warranties

We offer the HubSTREET network on an "as is" and on an "as available" basis. We make no representation or warranty of any kind, express or implied, regarding the services we offer, your use of the services or the results you will obtain from such use.

Any reliance upon the HubSTREET website or the HubSTREET network is at your own risk. We are not responsible for errors, inaccuracies or omissions in the website or such service, nor for any consequence of your use of or reliance upon the website or such service.

To the maximum extent permitted by applicable law, we disclaim all warranties with regard to the HubSTREET network, either express, implied or otherwise, including the implied warranty of merchantability and the warranties of non-infringement and of fitness for a particular purpose. We do not warrant that access to or use of the HubSTREET network will be uninterrupted or error-free or completely secure.

Limitation of Liability

To the maximum extent permitted by applicable law and regardless of whether any remedy in this agreement fails of its essential purpose, in no event will we be liable for any special, incidental, indirect, consequential or punitive damages whatsoever arising out of this agreement or your use of or inability to use the HubSTREET network, even if we have been advised of or should have known of the possibility of such damages. In no event will we be liable for damages in contract, tort or otherwise in excess of the amounts paid by you to us for the services that are the subject matter of the claim.

Limitation of Actions

In no event may you bring an action against us more than one year after the cause of action occurs.

Your Indemnity

You agree to defend, indemnify and hold us and our affiliates and our and their respective officers, directors, employees, shareholders and assigns harmless from any claim, demand, liability, loss, damage, cost and expense (including reasonable attorneys' fees) arising from or relating to: (i) your use of and access to the HubSTREET website or network; (ii) your breach of this agreement; (iii) any infringement or alleged infringement of any copyrights, trade secrets, trademarks, right of privacy, right of publicity or other intellectual or other property rights of any person or entity; or (iv) your violation of any law. We reserve the right, at your expense, to assume the exclusive defense and control of any dispute subject to indemnification by you, and in such case, you agree to cooperate with us in our defense of such claim. You will not settle any such dispute without our prior written consent. The terms of this indemnity will survive the expiration or termination of this agreement.

Privacy Policy

You consent to the terms of our Privacy Policy, as posted on the HubSTREET website, as that policy may change from time to time.

Notices

We may notify you by email, regular mail or overnight delivery service using the contact information you provide to us. You may notify us by filling out the customer support form or by email to support AT hubstreet.com or by regular mail or overnight delivery service to _______________, or such other address as we post as our address for notice on the website in the most recent version of this member agreement.

Modifications

We reserve the right to modify this agreement at any time by posting revised terms on this website. Your continued use of this website will be governed by the member agreement in force at the time of your use.

Waivers

No delay or failure to exercise any right or remedy provided for in this agreement will be deemed to be a waiver.

Severability

If any provision of this agreement is held invalid or unenforceable, for any reason, by any arbitrator, court or governmental agency, department, body or tribunal, the remaining provisions will remain in effect.

Assignment

Your right to use the HubSTREET network is personal to you. You may not transfer, sublicense or assign the rights granted under this agreement to any other person or entity.

We may transfer our interest in this agreement to a parent entity or successor-in-interest to our business (whether by merger, consolidation or sale of all or substantially all of the assets of our business).

Governing Law

This Agreement is governed by the laws of the state of New York, USA, without regard to New York's conflict of laws provisions.

Jurisdiction

Any claim or dispute between you and us that arises in whole or in part from this website will be decided exclusively by a court of competent jurisdiction located in New York, NY, or in White Plains, NY, U.S.A. Each party consents to the exclusive jurisdiction of such courts in any such action or proceeding.

The HubSTREET website will be deemed to be based in New York, the state in which our office is located. You agree that this website will be deemed a passive website that does not give rise to personal jurisdiction over us in jurisdictions other than New York.

Attorneys' Fees

You agree to pay all costs and expenses (including reasonable attorneys' fees) that we may incur in order to collect any amounts you owe under this Agreement.
